This User Agreement is a legal agreement between you and CoffeeRouter regarding your access to CoffeeRouter websites, APIs, dashboards, documentation, and related AI gateway services. By accessing or using the service, creating an account, generating an API key, or topping up credits, you confirm that you have read, understood, and agreed to these terms.

1. CoffeeRouter Service

CoffeeRouter provides an OpenAI-compatible AI API gateway for model routing, failover, billing visibility, and access to third-party model providers. We may add, remove, replace, throttle, or change available models, endpoints, regions, vendors, features, prices, or routing policies as the service and upstream providers evolve.

2. Eligibility and Supported Use

You must be at least 18 years old and able to enter into a binding agreement. You are responsible for confirming that your access to CoffeeRouter, your use of third-party models, and your transfer of prompts, files, outputs, or business data comply with the laws, sanctions rules, export controls, platform policies, and local requirements that apply to you.

3. Account and API Keys

You agree to provide accurate account, billing, and contact information and to keep it current. You are responsible for safeguarding passwords, API keys, team permissions, and any activity under your account. If you suspect unauthorized access, leaked credentials, or account misuse, contact us promptly through the official support channel.

4. Billing, Credits, and Refunds

Some service features require prepaid credits or other paid access. Credits offset model compute, routing, and related service charges according to the pricing shown in CoffeeRouter or agreed separately with us. Unless required by law or expressly agreed by CoffeeRouter, purchased credits and consumed services are non-refundable. We may update pricing with reasonable notice when practical.

5. User Content and Model Output

You retain the rights you have in prompts, inputs, uploaded files, and other content you submit. Outputs are generated by third-party or upstream AI models and may be inaccurate, incomplete, offensive, or subject to the model provider's own terms. You are solely responsible for reviewing outputs before relying on them and for ensuring you have the rights and permissions needed for any content you submit.

6. Prohibited Conduct

You may not use CoffeeRouter for illegal, abusive, infringing, harmful, deceptive, high-risk, or policy-violating activity. You may not bypass access controls, rate limits, safety systems, regional restrictions, billing controls, or provider rules; resell access without authorization; scrape or reverse engineer the service; attack or overload systems; or create multiple accounts to evade limits.

7. Service Changes, Suspension, and Termination

We may suspend or terminate access, revoke API keys, block requests, limit traffic, or remove content if we reasonably believe the service is being misused, your account creates risk, you violate these terms, a provider requires it, or continued service may create legal, security, billing, or operational exposure. You may stop using the service at any time.

8. Privacy Policy

Our Privacy Policy explains how CoffeeRouter collects, uses, protects, and shares personal information and service data. The Privacy Policy is incorporated into this agreement by reference. You should review it carefully before sending personal information, prompts, files, credentials, or business data through the service.

9. Changes to These Terms

We may update these terms as the service, legal requirements, or provider relationships change. Material updates will be posted on the site or communicated by reasonable means. Your continued use of CoffeeRouter after updated terms become effective means you accept the updated terms.

10. Ownership and Proprietary Rights

CoffeeRouter and its licensors own the service, software, interface, documentation, designs, trademarks, logos, pricing data presentation, and other materials we provide. Except for the limited right to use the service under these terms, no rights are transferred to you. You may not copy, modify, distribute, or create derivative works from CoffeeRouter materials without permission.

11. Feedback

If you provide ideas, reports, suggestions, or other feedback, you allow CoffeeRouter to use that feedback without restriction or compensation for improving, operating, marketing, or developing products and services.

12. Confidentiality

Non-public technical, business, security, pricing, roadmap, credential, and operational information disclosed by either party should be treated as confidential when a reasonable person would understand it to be confidential. The receiving party must use reasonable care, use the information only for service-related purposes, and disclose it only to personnel or providers with a need to know.

13. Indemnity

You agree to defend, indemnify, and hold CoffeeRouter harmless from claims, losses, liabilities, damages, costs, and expenses arising from your use of the service, your content, your violation of these terms or applicable law, your breach of provider terms, or your infringement or misuse of third-party rights.

14. Disclaimers

The service, third-party models, routes, outputs, documentation, and related materials are provided as is and as available. CoffeeRouter does not guarantee uninterrupted service, error-free operation, model accuracy, output quality, particular results, provider availability, or that all defects will be corrected. You use AI outputs and automated workflows at your own risk.

15. Limitation of Liability

To the fullest extent permitted by law, CoffeeRouter will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, loss of goodwill, business interruption, or substitute service costs. Our aggregate liability for all claims related to the service is limited to the amount you paid CoffeeRouter in the 12 months before the event giving rise to the claim, or USD 100, whichever is greater.

16. Governing Law

These terms are governed by the laws selected by CoffeeRouter for its service operations, without regard to conflict of law rules. Where a mandatory consumer or data protection law applies, nothing in these terms is intended to limit rights that cannot legally be limited.

17. General Terms

These terms, together with the Privacy Policy and any written order form or enterprise agreement, make up the entire agreement for your use of CoffeeRouter. You may not assign these terms without our consent. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver.

18. Dispute Resolution

Before starting a formal proceeding, both parties agree to try to resolve disputes in good faith by contacting the other party and describing the issue and requested remedy. If no resolution is reached within a reasonable period, disputes will be handled through the venue and procedure required by applicable law or a written enterprise agreement between the parties.

19. Electronic Communications

You agree that CoffeeRouter may send service notices, billing notices, security alerts, policy updates, and other communications electronically, including by email, dashboard message, or website notice. Electronic communications satisfy any legal requirement that a communication be in writing unless mandatory law says otherwise.

20. Contact

Questions about this User Agreement, service access, account status, refunds, or compliance issues can be sent through the official support channel. Please include your account email, organization name if applicable, and enough detail for us to investigate the request.
